Disguise Software Terms and Conditions

These “Disguise Software Terms and Conditions” (“DSTC”) apply to all contracts of sale for software 
between (i) Disguise Technologies Limited and, where applicable, any of its subsidiaries (together, 
“Disguise”) and (ii) the customer (“Customer”, “you”, “your”) other than in respect of software 
purchased on Disguise’s website where such other terms shall apply as Disguise determines from time to time. No deviation from or amendment to the DSTC shall be binding on Disguise unless agreed in writing between Disguise and the Customer. Disguise and the Customer may also be referred to as a “Party” or collectively as the “Parties”. The term “software” shall mean any software ordered by the Customer from Disguise pursuant to the provision of the DSTC (the “SOFTWARE PRODUCT”). If the customer does not agree to the terms of this DSTC, they agree to not install, allow it to be installed, or use the SOFTWARE PRODUCT.

These DSTC governs your use of the software, which may also include associated software components, media, printed materials and “online” or electronic documentation; plus, any associated application program interfaces (“APIs”)
 

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold, in this format.

1. GRANT OF LICENSE. The SOFTWARE PRODUCT is licensed as follows:
 

1.1 Installation and Use. Disguise grants you the right to install and use a single copy of the SOFTWARE 
PRODUCT on your computer running a validly licensed copy of the operating system for which the 
SOFTWARE PRODUCT was designed.
 

1.2 Backup Copies. You may not make copies of the SOFTWARE PRODUCT even for backup and archival purposes. You may create assets using the software, make copies and distribute the assets you have created as you feel necessary.
 

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

2.1 Maintenance of Copyright Notices and/or Branding. You must not remove or alter any copyright 
notices, 'designer' branding or DEMO notifications on any and all copies of the SOFTWARE PRODUCT.
 

2.2 Distribution. You may not distribute authorised or unauthorised copies of the SOFTWARE PRODUCT to third parties.
 

2.3 Prohibition on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
 

2.4 Rental. You may not rent, lease, or lend the SOFTWARE PRODUCT.
 

2.5 Support Services. Disguise may provide you with support services related to the SOFTWARE 
PRODUCT ("Support Services"). Any supplemental software code provided to you as part of the 
Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and 
conditions of this DSTC.
 

2.6 Compliance with Applicable Laws. You must comply with all applicable laws (in whichever jurisdiction) regarding use of the SOFTWARE PRODUCT.
 

2.7 Designated Hardware. Disguise may require and/or have specified to you which Disguise hardware 
you can solely use and/or upload the SOFTWARE PRODUCT to. In this event, you must only use the 
SOFTWARE PRODUCT in this capacity, and you must not use it in respect of any other Disguise hardware you have purchased.
 

3. TERMINATION

Without prejudice to any other rights, Disguise may terminate your usage of the SOFTWARE PRODUCT at any time, if you fail to comply with the terms and conditions of this DSTC. In such event, you must destroy all copies of the SOFTWARE PRODUCT in your possession.
 

4. COPYRIGHT

All title, including but not limited to copyrights, in and to the SOFTWARE PRODUCT and any copies thereof are owned by Disguise. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This DSTC grants you no rights to use such content. All rights not expressly granted are reserved by Disguise.
 

5. INFORMATION COLLECTION

5.1. Disguise may from time to time during the your use of the SOFTWARE PRODUCT collect information reported by the SOFTWARE PRODUCT about your hardware system, SOFTWARE PRODUCT version, operation of the SOFTWARE PRODUCT and errors with the SOFTWARE PRODUCT, including the following:

a) diagnostics information, including errors, warnings and triggering event  conditions reported 
from the SOFTWARE PRODUCT or operating system;
b) an overview of your system configuration, including operating system version, SOFTWARE 
PRODUCT version, a machine identifier, source IP address, CPU, memory, display adaptor(s), 
network adaptor(s), video capture device(s), audio adapter(s) and connected human interface 
(HiD) device(s), including device driver versions;
c) where the SOFTWARE PRODUCT is running on hardware provided by Disguise , serial number, 
server type, average percentage free media drive  capacity and thermal monitoring information;
d) runtime statistics of the SOFTWARE PRODUCT including, session data (length of session, user 
activity levels through session), system resource utilisation, timestamps, performance profiling;
e) for licensed products, your product license information;
f) for sessions where you are logged into the SOFTWARE PRODUCT, JSON web tokens ('JWT'), via 
your authentication header,
(together the "Collected Information").
 

5.2 The Collected Information will be used to help Disguise assist you with troubleshooting and resolving technical issues, to help Disguise better understand how its customers are using the SOFTWARE PRODUCT in order to enhance user experience and prioritise future development, to understand more of the errors and problems being encountered by Disguise's customers, and to help detect use of fraudulent licence keys.
 

5.3 Where the SOFTWARE PRODUCT is running on hardware provided by Disguise, the Collected Information will also allow Disguise to pro-actively offer support upgrades and assistance to you.
 

5.3 You may disable information sharing at the point of installing the SOFTWARE PRODUCT. Although  information sharing is disabled, the SOFTWARE PRODUCT will still collect and store the Collected Information.
 

5.4 To the extent the Collected Information, and any other data which may be provided by you to 
Disguise  or which may be collected by Disguise  in connection with the installation and use of the 
SOFTWARE PRODUCT, is personal data from which you (as an individual) may be identified, it shall by 
collected, stored, retrieved, used and distributed in accordance with Disguise's latest Privacy Policy and Cookies Policy, which are located at https://www.disguise.one/en/legals/privacy-policy/ and https://www.disguise.one/en/legals/cookie-policy/ .
 

5.5 By proceeding with the installation of the SOFTWARE PRODUCT, you unconditionally and irrevocably agree to the terms of the Privacy Policy and Cookies Policy as varied and/or amended from time to time.
 

5.6 The Collected Information shall be stored on Amazon Web Services and/or such other third party 
platforms as Disguise may from time to time decide.  The Collected Information shall also be stored and sent to Disguise's cloud platform, as Disguise shall also from time to time decide.
 

6. NO WARRANTIES

Disguise expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT is 
provided 'As Is' without any express or implied warranty of any kind, including but not limited to any 
warranties of merchantability, non-infringement, or fitness of a particular purpose. Disguise does not 
warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, 
links or other items contained within the SOFTWARE PRODUCT. Disguise makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. Disguise further expressly disclaims any warranty or representation to Authorized Users or to any third party.
 

7. LIMITATION OF LIABILITY

In no event shall Disguise. be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of 'Authorized Users' use of or inability to use the SOFTWARE PRODUCT, even if Disguise has been advised of the possibility of such damages. In no event will Disguise be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. Disguise shall have no liability with respect to the content  of the SOFTWARE PRODUCT or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information.
 

8. FEES

Disguise reserves its right to charge you fees for your use of the SOFTWARE PRODUCT, including your 
use of any associated APIs, as defined above, by updating this DSTC from time to time and providing you

Disguise and the Customer may also be referred to as a “Party” or collectively as the “Parties”. The term “software” shall mean any software ordered by the Customer from Disguise pursuant to the provision of the DSTC (the “SOFTWARE PRODUCT”). If the customer does not agree to the terms of this DSTC, they agree to not install, allow it to be installed, or use the SOFTWARE PRODUCT.

These DSTC governs your use of the software, which may also include associated software components, media, printed materials and “online” or electronic documentation; plus, any associated application program interfaces (“APIs”)
 

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold, in this format.

1. GRANT OF LICENSE. The SOFTWARE PRODUCT is licensed as follows:
 

1.1 Installation and Use. Disguise grants you the right to install and use a single copy of the SOFTWARE 
PRODUCT on your computer running a validly licensed copy of the operating system for which the 
SOFTWARE PRODUCT was designed.
 

1.2 Backup Copies. You may not make copies of the SOFTWARE PRODUCT even for backup and archival purposes. You may create assets using the software, make copies and distribute the assets you have created as you feel necessary.
 

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

2.1 Maintenance of Copyright Notices and/or Branding. You must not remove or alter any copyright 
notices, 'designer' branding or DEMO notifications on any and all copies of the SOFTWARE PRODUCT.
 

2.2 Distribution. You may not distribute authorised or unauthorised copies of the SOFTWARE PRODUCT to third parties.
 

2.3 Prohibition on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
 

2.4 Rental. You may not rent, lease, or lend the SOFTWARE PRODUCT.
 

2.5 Support Services. Disguise may provide you with support services related to the SOFTWARE 
PRODUCT ("Support Services"). Any supplemental software code provided to you as part of the 
Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and 
conditions of this DSTC.
 

2.6 Compliance with Applicable Laws. You must comply with all applicable laws (in whichever jurisdiction) regarding use of the SOFTWARE PRODUCT.
 

2.7 Designated Hardware. Disguise may require and/or have specified to you which Disguise hardware 
you can solely use and/or upload the SOFTWARE PRODUCT to. In this event, you must only use the 
SOFTWARE PRODUCT in this capacity, and you must not use it in respect of any other Disguise hardware you have purchased.
 

3. TERMINATION

Without prejudice to any other rights, Disguise may terminate your usage of the SOFTWARE PRODUCT at any time, if you fail to comply with the terms and conditions of this DSTC. In such event, you must destroy all copies of the SOFTWARE PRODUCT in your possession.
 

4. COPYRIGHT

All title, including but not limited to copyrights, in and to the SOFTWARE PRODUCT and any copies thereof are owned by Disguise. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This DSTC grants you no rights to use such content. All rights not expressly granted are reserved by Disguise.
 

5. INFORMATION COLLECTION

5.1. Disguise may from time to time during the your use of the SOFTWARE PRODUCT collect information reported by the SOFTWARE PRODUCT about your hardware system, SOFTWARE PRODUCT version, operation of the SOFTWARE PRODUCT and errors with the SOFTWARE PRODUCT, including the following:

a) diagnostics information, including errors, warnings and triggering event  conditions reported 
from the SOFTWARE PRODUCT or operating system;
b) an overview of your system configuration, including operating system version, SOFTWARE 
PRODUCT version, a machine identifier, source IP address, CPU, memory, display adaptor(s), 
network adaptor(s), video capture device(s), audio adapter(s) and connected human interface 
(HiD) device(s), including device driver versions;
c) where the SOFTWARE PRODUCT is running on hardware provided by Disguise , serial number, 
server type, average percentage free media drive  capacity and thermal monitoring information;
d) runtime statistics of the SOFTWARE PRODUCT including, session data (length of session, user 
activity levels through session), system resource utilisation, timestamps, performance profiling;
e) for licensed products, your product license information;
f) for sessions where you are logged into the SOFTWARE PRODUCT, JSON web tokens ('JWT'), via 
your authentication header,
(together the "Collected Information").
 

5.2 The Collected Information will be used to help Disguise assist you with troubleshooting and resolving technical issues, to help Disguise better understand how its customers are using the SOFTWARE PRODUCT in order to enhance user experience and prioritise future development, to understand more of the errors and problems being encountered by Disguise's customers, and to help detect use of fraudulent licence keys.
 

5.3 Where the SOFTWARE PRODUCT is running on hardware provided by Disguise, the Collected Information will also allow Disguise to pro-actively offer support upgrades and assistance to you.
 

5.3 You may disable information sharing at the point of installing the SOFTWARE PRODUCT. Although  information sharing is disabled, the SOFTWARE PRODUCT will still collect and store the Collected Information.
 

5.4 To the extent the Collected Information, and any other data which may be provided by you to 
Disguise  or which may be collected by Disguise  in connection with the installation and use of the 
SOFTWARE PRODUCT, is personal data from which you (as an individual) may be identified, it shall by 
collected, stored, retrieved, used and distributed in accordance with Disguise's latest Privacy Policy and Cookies Policy, which are located at https://www.disguise.one/en/legals/privacy-policy/ and https://www.disguise.one/en/legals/cookie-policy/ .
 

5.5 By proceeding with the installation of the SOFTWARE PRODUCT, you unconditionally and irrevocably agree to the terms of the Privacy Policy and Cookies Policy as varied and/or amended from time to time.
 

5.6 The Collected Information shall be stored on Amazon Web Services and/or such other third party 
platforms as Disguise may from time to time decide.  The Collected Information shall also be stored and sent to Disguise's cloud platform, as Disguise shall also from time to time decide.
 

6. NO WARRANTIES

Disguise expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT is 
provided 'As Is' without any express or implied warranty of any kind, including but not limited to any 
warranties of merchantability, non-infringement, or fitness of a particular purpose. Disguise does not 
warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, 
links or other items contained within the SOFTWARE PRODUCT. Disguise makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. Disguise further expressly disclaims any warranty or representation to Authorized Users or to any third party.
 

7. LIMITATION OF LIABILITY

In no event shall Disguise. be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of 'Authorized Users' use of or inability to use the SOFTWARE PRODUCT, even if Disguise has been advised of the possibility of such damages. In no event will Disguise be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. Disguise shall have no liability with respect to the content  of the SOFTWARE PRODUCT or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information.
 

8. FEES

Disguise reserves its right to charge you fees for your use of the SOFTWARE PRODUCT, including your 
use of any associated APIs, as defined above, by updating this DSTC from time to time and providing you

Disguise Software Terms and Conditions

These “Disguise Software Terms and Conditions” (“DSTC”) apply to all contracts of sale for software 
between (i) Disguise Technologies Limited and, where applicable, any of its subsidiaries (together, 
“Disguise”) and (ii) the customer (“Customer”, “you”, “your”) other than in respect of software 
purchased on Disguise’s website where such other terms shall apply as Disguise determines from time to time. No deviation from or amendment to the DSTC shall be binding on Disguise unless agreed in writing between Disguise and the Customer.
